Will’s practice focuses in the areas of corporate law, securities, and intellectual property.

  • Will has experience negotiating and preparing a variety of business agreements, including merger and acquisition documents, corporate reorganization documents, limited liability company operating agreements, shareholder agreements, and stock purchase agreements.
  • In the area of intellectual property, Will’s experience includes advising clients on matters relating to trademarks, copyright, and advertising.
  • His experience also includes the formation, financing, and operation of start-up companies.
  • Will advises businesses of all sizes on Federal and state securities law compliance and advises alcohol beverage distributors on state alcohol beverage control regulations.
  • Will conducts research and advises motor fuel distributors on the Petroleum Marketing Practices Act.
  • Additionally, Will has experience in a wide variety of corporate and transactional matters including negotiating national supply contracts and sponsorship agreements.

  • Negotiated and prepared documents for a multi-million dollar asset sale of a beverage distributor.
  • Structured and prepared the documents for the merger of two for-profit corporations.
  • Negotiated and prepared several sponsorship and license agreements for a publicly-traded beverage company.
  • Structured and prepared the documentation for several investments in early-stage businesses.
  • Negotiated and prepared a multi-million dollar supply and requirements contract for a publicly-traded beverage company.

  • Prepared several private placement memorandums for the placement of equity with investors under Regulation D Coordinated Federal and State Regulation D filings.
