Tom’s practice focuses on corporate and public finance and business formations, acquisitions, dispositions, mergers, and reorganizations. He also serves as a senior counselor to executives and business owners in estate planning.
- Tom has significant experience representing a broad base of banking and lending clients, as well as corporate clients seeking financing. His experience includes structuring and documenting sophisticated loan transactions including letters of credit, revolving lines of credit, construction and permanent loans, and other forms of financing secured by various forms of real and/or personal property .
- He represents borrowers, lenders, underwriters, and governmental issuers in the area of finance which includes multi-modal credits, commercial paper, “low floater” and other taxable and tax-exempt bonds, and both publicly offered and privately placed issues.
- Tom has extensive involvement with mergers and acquisitions, including transactions involving stock for cash, stock for stock, assets for cash, assets for stock and corporate spinoffs, split-offs and split-ups.
- Tom’s practice also involves the purchase, sale and financing of aircraft for personal and corporate use.
Representative Transactions
- Tom has represented municipalities in the financing of several urban-area parking facilities.
- He has represented major construction companies, office supply companies and petroleum distribution companies in major bank financings.
Other financing representations include bond financings for the Lambert–St. Louis International Airport, the St. Louis Convention Center, a public television station, municipal waterworks, special taxing districts such as fire protection districts and community improvement districts, and various educational and cultural facilities.
