John’s practice focuses in the area of general business and taxation law, including corporate, partnership, individual, and real estate taxation; and federal, state, and local incentives for development.
- John has an expertise in executive compensation, including the review and preparation of various deferred compensation and stock incentive plans for businesses of all sizes.
- John has also organized a number of corporations (for profit and nonprofit), partnerships, and limited liability companies and advised on the structuring of entities in various business and real estate transactions.
- His experience includes the research of various partnership tax and Low-Income Housing Tax Credit / Historic Tax Credit issues for developers and investors.
- John has advised various real estate developers in the structuring of sales and purchases of real estate, including transactions qualifying for like-kind exchange treatment.
- John has advised on structuring issues and tax implications with respect to the purchases and sales of businesses.
Recent Representative Transactions
- Responsible for the review and amendments of all nonqualified deferred compensation plans of a local Fortune 500 company to gain compliance with recently effective Section 409A of the Internal Revenue Code.
- Engineered and documented the merger of two foreign nonprofit entities.
- Advice and implementation of the mass restructuring of the tax credit fund model for the St. Louis Equity Fund, Inc.
- Work on a number of historic tax credit and low income housing tax credit projects in the St. Louis Metropolitan area.
