Nancy’s practice focuses on a variety of general business transactions, with an emphasis in the areas of real estate law, nonprofit and tax-exempt organizations and public finance.
- Nancy has experience in the structuring, negotiation and documentation of business acquisitions and dispositions, including the financing necessary to consummate acquisitions and advice regarding the use of proper tax structure and business entities.
- Nancy has provided counsel to a broad base of banking and lending clients, as well as corporate clients seeking financing. Nancy represents borrowers and lenders in complex financing transactions. She has experience structuring and documenting sophisticated loan transactions including letters of credit, revolving lines of credit, construction and permanent loans, and other forms of financing secured by various forms of collateral.
Representative Transactions and Clients
- Assisted client in acquiring all of the service station/convenience store/car wash locations in the St. Louis Metropolitan area, previously owned by two oil companies, and represents client in connection with operation of the resulting business.
- Handles a wide variety of legal issues for religious, charitable and educational institutions.
- Counsels nonprofit tax-exempt organizations through all stages of corporate existence, from organization to termination.
- Works with government officials on behalf of nonprofits, and with nonprofit employees on corporate compliance.
- Assists officers and boards of nonprofits with governance issues.
- Negotiated and prepared several sponsorship and license agreements for a publicly-traded beverage company, a leading national theme park chain and a national quick-service restaurant company.
- Financing representations include bond financings for school districts, convention centers, airports, publicly-owned recreational facilities and various educational and cultural facilities.
