Ed’s practice is concentrated in the areas of corporate law, public finance, real estate and the representation of charitable and tax-exempt organizations. He regularly represents both for-profit and nonprofit organizations and has particular experience representing health care, social service organizations, and institutions of higher education.

  • Ed assists continuing care and continuum of care facilities through a wide range of organizational and operational issues, from the proper formation of the entity to day-to-day operations.
  • He represents health and social service organizations in the sale of property and the restructuring of debt, and advises clients regarding the regulatory issues related to the organization, development, and ongoing operation of these facilities.
  • Ed regularly represents clients, particularly high schools and colleges, in bond financings and all manners of taxable and tax-exempt financing transactions. His experience also includes financial restructuring for educational institutions.
  • Ed works with higher educational institutions in the formation and structure of all forms of vendor contracts and faculty contracts, advises educational clients with regard to policy manuals, and counsels colleges and universities with regard to governmental and regulatory issues.
  • Ed has extensive experience in the structuring, negotiation and documentation of business acquisitions and dispositions, including the financing necessary to consummate acquisitions.
  • He regularly represents clients in the full range of real estate development matters, including land acquisition, architectural contracts, construction contracts, leasing, and the sale of assets.
  • Ed also represents HUD low-income and older adult facilities in the development, financing, and on-going operational matters of the facilities.
