Jeff’s practice focuses on a variety of general business transactions, with emphasis on business acquisitions and dispositions.
- Jeff has extensive experience in the structuring, negotiation and documentation of business acquisitions and dispositions, including the financing necessary to consummate acquisitions and advice regarding the use of proper tax structure and business entities.
- He has extensive experience in counseling clients involved in family-owned businesses.
- Jeff has represented parties in leveraged buyouts, as well as both public and private companies that have expanded their operations by acquiring additional businesses.
- He also represents developers and investors in affordable housing projects, including those that utilize tax credits and other government sources of funding.
- Additionally, Jeff provides counsel to a broad base of banking and lending clients. His experience includes structuring and documenting sophisticated loan transactions involving letters of credit, revolving lines of credit, construction and permanent loans, and other forms of financing secured by various forms of real and/or personal property.
Representative Transactions and Clients
- Represents bank holding company, including advice regarding regulatory compliance for a one-bank holding company.
- Assists St. Louis Equity Fund in raising approximately $25 million of equity capital each year to invest in affordable housing in Missouri, involving transactions with low-income and historic tax credits.
- Represented client in the sale of stock of a major finance company acquired by one of the largest bank holding companies in the U.S.
- Assisted client in acquiring all of the service station/convenience store/car wash locations in the St. Louis Metropolitan Area, previously owned by two oil companies, and represents client in connection with operation of the resulting business.
- Assisted public company in a “going private” transaction.
- Represented seller in a leveraged buyout of a large chain of pet stores located throughout the Midwest.
- Represented purchasers of beer distributorships for a major brewery.
- Represents tax-exempt organization operating continuing care retirement facilities, including advice regarding real estate tax exemption and construction and acquisition of additional facilities.
