Our Business and Tax attorneys represent a broad range of business clients, ranging from public companies to entrepreneurial and privately-owned businesses.

We advise and assist clients with: mergers and acquisitions; selection and organization of an appropriate business entity; structuring business transactions; restrictive agreements among the business owners; negotiation and preparation of contracts governing all aspects of business transactions; and corporate governance and corporate policy matters to name a few.

REPRESENTATIVE TRANSACTIONS

  • Representation of regional bank in application for Federal "TARP" funds.
  • Representation of a local equity fund in annual efforts to build multi-million dollar fund each year. Investors include major corporations and banks. Funds are used in the development of low-income housing projects utilizing Federal and state tax credits.
  • Representation of the largest tax-exempt organization in Missouri in connection with its business of acquiring, constructing and operating elderly housing campuses throughout Missouri and Illinois.
  • Representation of gasoline distributor in acquisition of all service stations in the St. Louis Metropolitan area from major world oil company leaving the St. Louis market.
  • Representation of a bank holding company in connection with compliance with regulations under the Federal Bank Holding Company Act.
  • Representation of purchasers of various alcohol beverage distributorships in Missouri, Arkansas, Oklahoma, and Virginia, ranging in size from $20–$50 million.
  • Representation of a St. Louis steel pipe manufacturer in a joint venture with a German steel pipe manufacturer.
  • Representation of a St. Louis-based global alcohol and non-alcohol malt beverage, energy drink, and entertainment company:
    • Negotiation of over ten multi-million dollar preferred pricing and equipment supply agreements.
    • Preparation and negotiation of over 50 sponsorship agreements for major national and local sporting events, sports teams, concerts and other entertainment events.
    • Preparation and negotiation of over 30 agreements with producers, directors, and designers for all aspects of various entertainment shows to be performed at the company-owned adventure parks.
  • Representation of a locally headquartered national quick service restaurant chain in the negotiation and preparation of over 30 sponsorship agreements for local, regional and national sporting events, sports teams, and entertainment events.
  • Representation of clients in the investment in several early stage businesses, including companies specializing in biotechnology, internet, clothing, and exercise equipment.
