Our Tax attorneys have broad experience including federal, state, and local tax planning for corporations, partnerships, limited liability companies, S corporations, and individuals. They have particular experience in qualified and non-qualified compensation planning, real estate transactions, business acquisitions and reorganizations, tax exempt and other financing, financial derivatives, exempt organizations including private foundations, sales tax, low-income housing, planning for closely-held businesses, and income tax planning for estates and trusts.

Our attorneys actively deal with the Internal Revenue Service and the Missouri Department of Revenue through negotiations and the preparation and submission of ruling requests to these agencies. We also represent taxpayers in tax controversies before administrative agencies, and support our litigation attorneys in representing taxpayers before federal and state courts.

Employee Benefits

In this area, our attorneys provide counsel to a variety of public, private and nonprofit clients, ranging from one-person professional corporations, to mid and small-sized local employers, to national businesses.

We advise clients regarding issues relating to the design, implementation and administration of pension and profit sharing plans, including 401(k) plans. In that connection we interface regularly and effectively with the Internal Revenue Service, the Department of Labor, Pension Benefit Guarantee Corporation, actuarial advisors, investment advisors, trustees, custodians and recordkeepers.

We also counsel clients with respect to non-qualified deferred compensation arrangements. This expertise includes deferred compensation agreements, 401(k) make-up plans, rabbi trusts, phantom stock plans, split dollar life insurance agreements, “top hat” executive plans, deferred compensation plans for employees of tax-exempt and governmental organizations and other creative solutions to ensure competitive wealth accumulation programs for corporate executives.

We further provide advice regarding a wide variety of issues relating to welfare benefits plans, including health insurance, cafeteria plans and COBRA.

Exempt Organizations

The attorneys practicing in this area represent a wide variety of public charities, as well as private foundations, and have significant experience with the issues unique to charities, such as questions of state regulation, tax exempt status, compliance and issues of governance.

We have experience in advising both individuals and charitable organizations on ways of structuring complex charitable gifts to achieve the best income and estate tax outcome. Our representation of charities also involves working closely with donors’ attorneys to structure more sophisticated charitable gifts.
